These Terms of Use (“Terms”) govern your access to and use of SocioFlo and related services (collectively, the “Service”) as an influencer, creator, or content partner (“Influencer,” “you,” or “your”). EarlyDot Tech Private Limited (“EarlyDot Tech,” “we,” “us,” or “our”) provides the Service to connect Influencers with Brands for campaign opportunities, facilitate collaboration, and process related transactions. By registering for or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Eligibility & Account Registration

1.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding agreements.

1.2 Registration. To use the Service, you must create an account and provide accurate, complete, and current information, including:

• Full name, email address, and password
• Social media handles and profile links
• Payment and tax information as required

1.3 Account Security. You are responsible for safeguarding your account credentials. You agree to notify us immediately of any unauthorized access or suspected breach.

2. Use of the Service

2.1 Permitted Use. Influencers may use the Service to:

• Create and manage their profiles
• Discover and respond to campaign invitations
• Communicate with Brands and submit deliverables
• Receive compensation via escrow and payment processing

2.2 Prohibited Conduct. You agree not to:

• Violate any applicable law, regulation, or third-party right
• Impersonate any person or entity or misrepresent your affiliation
• Use bots, scrapers, or automated means to access or interact with the Service
• Interfere with or disrupt the integrity or performance of the Service

3. Profile & Content

3.1 Profile Accuracy. You warrant that your profile information, including follower counts, demographics, and engagement metrics, is accurate and up-to-date. You agree to update your profile promptly if any information changes.

3.2 User Content. You retain ownership of your content (posts, images, videos, etc.) but grant EarlyDot Tech and Brand Users a worldwide, royalty-free license to host, display, share, and distribute your content in connection with the Service.

3.3 Content Standards. All content you submit must:

• Comply with applicable advertising guidelines (e.g., FTC rules) and platform policies
• Be original or properly licensed, without infringing third-party rights
• Not contain unlawful, defamatory, or hateful material

4. Campaign Participation

4.1 Campaign Invitations. Brands may invite you to participate in campaigns. You may accept or decline invitations at your discretion.

4.2 Deliverables & Deadlines. Upon acceptance, you agree to deliver content and other assets as specified in the campaign brief, within agreed timelines and formats.

4.3 Approval & Revisions. Brands may request revisions to submitted deliverables. You agree to provide reasonable revisions consistent with the campaign scope.

5. Compensation & Payments

5.1 Escrow Payments. Brands deposit campaign fees into escrow. Funds are released to you upon satisfactory completion and approval of deliverables.

5.2 Payment Processing. Payments are processed through our third-party providers. You are responsible for any taxes or fees associated with compensation.

5.3 Disputes. In the event of a payment dispute, you agree to engage in good-faith communication with the Brand and EarlyDot Tech for resolution.

6. Intellectual Property

6.1 Influencer IP. You retain ownership of your pre-existing intellectual property. You grant Brands a license to use any custom content created under a campaign, solely for the campaign’s intended purposes.

6.2 Service IP. All technology, software, trademarks, and content provided by EarlyDot Tech remain our exclusive property.

6.3 License to EarlyDot Tech. You grant EarlyDot Tech a non-exclusive license to use your name, likeness, and content in marketing materials for the Service.

7. Data Privacy & Security

7.1 Privacy. Our collection and use of your personal data are governed by our Privacy Policy.

7.2 Security. We implement measures designed to protect your data, but no system is completely secure. You acknowledge and accept this risk.

8. Representations & Warranties

You represent and warrant that:

• You have the rights to grant the licenses and permissions set forth in these Terms.
• Your content will not violate any law or infringe any third-party rights.
• You will comply with all applicable laws and regulations.

9. Disclaimers

The Service is provided “as is” and “as available.” EarlyDot Tech disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law, neither EarlyDot Tech nor any third party will be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Damages arising from your participation in campaigns or Brand interactions

Total liability shall not exceed the amount you have received through the Service in the six (6) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EarlyDot Tech, its officers, employees, and agents from any claims, damages, liabilities, or expenses arising from:

• Your use of the Service
• Your breach of these Terms
• Your content or campaign activities

12. Termination

12.1 Termination by You. You may close your account at any time through the account settings.

12.2 Termination by Us. We may suspend or terminate your access for breach of these Terms or illegal conduct.

12.3 Post-Termination. Upon termination, your licenses to use the Service and any licenses granted to Brands or EarlyDot Tech will terminate, but accrued rights and obligations survive.

13. Modifications to Terms

We may update these Terms to reflect changes in the Service or legal requirements. We will notify you of material changes via email or a prominent notice. Continued use constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes will be resolved in the courts located in Bangalore, Karnataka.
