These Terms & Conditions (“Terms”) govern your use of the SocioFlo platform and related services (collectively, the “Service”) by brands, advertisers, agencies, and other business entities (“Brands,” “you,” or “your”). EarlyDot Tech Private Limited (“EarlyDot Tech,” “we,” “us,” or “our”) provides the Service to help Brands discover, engage, and manage influencer marketing campaigns. By accessing or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Eligibility & Account Registration

1.1 Eligibility. You must be at least 18 years old and have the legal authority to bind your organization to these Terms.

1.2 Registration. To use the Service, you must register for an account and provide accurate, complete, and up-to-date information, including:

• Company name, registration number, address
• Contact person name, email, and phone number
• Billing and payment details

1.3 Account Security. You are responsible for safeguarding your password and account credentials. You agree to notify us immediately of any unauthorized access or suspected security breach.

2. Use of the Service

2.1 Permitted Use. Brands may use the Service to:

• Discover and evaluate Influencers
• Create, manage, and track influencer marketing campaigns
• Communicate with Influencers and manage deliverables
• Process payments and escrow transactions

2.2 Prohibited Conduct. You agree not to:

• Violate any applicable law or regulation
• Misrepresent your identity or affiliation
• Interfere with or disrupt the Service or servers
• Use automated tools to scrape or extract data
• Attempt to gain unauthorized access to any portion of the Service

3. Campaigns & Influencer Collaboration

3.1 Campaign Creation. Brands define campaign objectives, budgets, deliverables, and timelines. Campaigns must comply with applicable advertising, data privacy, and intellectual property laws.

3.2 Influencer Agreements. When you engage an Influencer:

• You are solely responsible for negotiation and execution of campaign terms (scope, compensation, deliverables).
• You must obtain any necessary consents from Influencers for data processing, usage rights, and promotional activities.

3.3 Content Standards. All content produced by Influencers under your campaigns must:

• Be truthful and non-misleading
• Comply with FTC guidelines and local advertising regulations
• Respect third-party intellectual property rights

4. Fees & Payments

4.1 Service Fees. Brands agree to pay all fees and charges specified in their Subscription Plan or per-campaign fee schedule. Fees are non‑refundable except as required by law or expressly agreed.

4.2 Payment Processing. All campaign payments are processed through our third-party escrow providers. You authorize us to charge your designated payment method for all fees and campaign disbursements.

4.3 Late Payments. Unpaid fees may incur interest at the lesser of 1.5% per month or the maximum permitted by law. We may suspend or terminate your access for overdue amounts.

5. Intellectual Property

5.1 EarlyDot Tech IP. All technology, software, trademarks, and content provided by EarlyDot Tech remain our exclusive property.

5.2 Brand & Influencer Content. You retain ownership of your campaign briefs, brand assets, and any materials you upload. Influencers retain ownership of their content, subject to usage rights you negotiate.

5.3 License Grant. You grant EarlyDot Tech a worldwide, royalty-free license to host, display, and distribute your content solely to provide the Service.

6. Confidentiality

6.1 Confidential Information. “Confidential Information” means non‑public business or technical information disclosed by one party to the other.

6.2 Non-Disclosure. Each party agrees to protect Confidential Information with at least the same degree of care it uses for its own confidential information and not to disclose it except to fulfill these Terms.

7. Warranties & Disclaimers

7.1 Mutual Warranties. Each party represents that it has the right and authority to enter into these Terms.

7.2 Disclaimers. The Service is provided “as is” and “as available.” EarlyDot Tech disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

8. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, or data
• Damages arising from third-party actions or unavailability of the Service

Total aggregate liability of EarlyDot Tech for all claims will not exceed the fees paid by you in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless EarlyDot Tech, its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of or related to:

• Your use of the Service
• Your breach of these Terms
• Your campaign activities or content

10. Termination

10.1 Termination by You. You may close your account at any time by providing notice through the Service or to support@socioflo.com.

10.2 Termination by Us. We may suspend or terminate your access for breach of these Terms, non‑payment, or illegal conduct, with or without notice.

10.3 Effects of Termination. Upon termination, you remain responsible for all accrued fees, and we may delete or anonymize your data in accordance with our Privacy Policy.

11. Modifications to the Terms

We may update these Terms to reflect changes in our Service or legal requirements. We will notify you of material changes via email or a prominent notice. Continued use constitutes acceptance.

12. Governing Law & Dispute Resolution

These Terms will be governed by and construed under the laws of India, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Bangalore, Karnataka.

13. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and EarlyDot Tech.
• Severability: If any provision is invalid, the remainder will remain in effect.
• Waiver: No waiver of any right is effective unless in writing and signed by both parties.
